Location: Fort Lauderdale, Florida
Type: Full time
Salary: $80K - $90K Per Year.
SUMMARY: This position involves duties for all types of entities, maintaining corporate records, and preparing reports and filings for governmental agencies. The role includes reviewing, analyzing, and organizing factual information and documentation in accordance with corporate legal practice and procedure.
RESPONSIBILITIES:
- Preparing state filings for the formation, dissolution, and merger of corporations, partnerships, and limited liability companies.
- Filing financing statements, judgments, and lien searches.
- Maintaining corporate records for corporations, partnerships, and limited liability companies.
- Preparing and filing necessary reports for companies with appropriate government agencies.
- Reviewing purchase/sale agreements and drafting closing checklists.
- Preparing and filing IRS Forms 8832 or 2553 with the IRS to elect the form of taxation for the company, and IRS Form SS-4 and Third Party Designation for the entity’s Employer Identification Number.
- 3 to 7 years of experience as a Corporate Paralegal.
- Bachelor’s degree preferred/Paralegal Certificate.
- Knowledge of state laws and their relationship to corporate and securities matters, and various state, county, and city licensing laws and requirements.
- Experience signing and closing transactional matters, and compliance knowledge and experience.
- Working knowledge of Microsoft Office Suite and iManage or similar document management software.
